Terms and Conditions for UP Account Opening Campaign (“Terms and Conditions”)

UP Account Opening Rewards – All about the Campaign

The UP Account Opening Campaign (“Campaign”) is a promotional campaign organized by CGS International Securities Malaysia Sdn. Bhd. (“CGS MY”).

This Campaign is open to new retail clients of CGS MY (eligibility as defined under the Eligibility Criteria in Section A below) who successfully open a UP account via the UP account via the UP mobile application with CGS MY during the Campaign period which runs from 8 April 2025 to 8 October 2025 (both dates inclusive) (“Campaign Period”).

The Terms and Conditions of the Campaign are as set out below.

A. Eligibility

1. Eligibility Criteria:

The Campaign is open to new retail clients of CGS MY who:
  1. (a)
    Apply for the opening of a new Up account (“Up Account(s)”) using the UP mobile application, issued by CGS MY ; and
  2. (b)
    Successfully open the new Up Account;
  3. during the Campaign Period.
  4. (Each such client is referred to as an "Eligible Client," and collectively, they are referred to as the “Eligible Clients.”)
2. Automatic Enrollment:

No participation form is required. Eligible Clients will be automatically enrolled in the Campaign upon the Eligible Clients receiving an email from CGS MY on their successful opening of an UP Account.
3. Ineligible Clients:

The following persons and/or accounts are NOT eligible to participate in the Campaign:
  • Employees, directors, and dealers’ representatives of CGS MY.
  • Corporate clients.
4. Discretionary Participation Rights

Notwithstanding the above, CGS MY has the full discretion to determine a client’s eligibility to participate in the Campaign. CGS MY also reserves the absolute right to reject any Eligible Client’s participation in this Campaign without assigning any reason.

B: Campaign Mechanics

Zero-Commission Promotion for Buy Trades & Zero-Platform Fee Promotion for All Trades
  1. (a)
    Eligible Clients will be entitled to a promotional Zero-Commission Rate for Buy Trades (as defined below) and a Zero-Platform Fee Trades (as defined below) during the Campaign Period.
    "Zero-Commission Rate for Buy Trades" means that no commission will be charged by CGS MY on any buy trades executed by the Eligible Clients through the UP mobile application using their UP Account during the Campaign Period.
    "Zero-Platform Fee Trades" means that no platform fee will be charged by CGS MY on any trades for securities listed on Bursa Malaysia Berhad executed by the Eligible Clients through the UP mobile application using their UP Account during the Campaign Period.
  2. (b)
    For clarity, only buy trades which are executed by the Eligible Clients through the UP mobile application using their UP Account during the Campaign Period are eligible for the promotional Zero-Commission Rate for Buy Trades. Sell trades will continue to be subject to the standard commission rates, as outlined in the CGS MY fee schedule at https://cgsi.com.my/up/pricing/, which may be updated from time to time.
  3. (c)
    All other commission rates as set out at https://cgsi.com.my/up/pricing (as amended, modified and/or supplemented from time to time) will continue to apply during the Campaign Period. Additionally, subject to Clause 5(a), all other applicable fees including, but not limited to, clearing fees, stamp duty fees, trading fees, and settlement fees (where applicable), as well as any applicable taxes on all trades (buy or sell), shall continue to be borne by the clients.

C: General Terms & Conditions

The Terms and Conditions below shall govern all Eligible Clients who qualify for or receive any benefits under the Campaign, including under the Zero-Commission Rate for Buy Trades and Zero-Platform Fee Trades (collectively referred to as “Rewards”).

By participating in the Campaign, the Eligible Clients are deemed to have read, understood and agreed to be bound by these Terms & Conditions, and CGS MY’s Terms and Conditions as well as the terms of any other agreement(s) the Eligible Clients may have entered into with CGS MY (each as amended, modified, and/or supplemented from time to time). Any breach or failure to comply with the foregoing shall result in the disqualification of the relevant Eligible Clients from the Campaign and/or (if applicable) forfeiture of the Rewards in accordance with Clause 18.

This Campaign shall not be construed as an offer, recommendation, or solicitation to buy or sell any securities. All Eligible Clients are advised to conduct their own independent evaluation and consult professional advisers before engaging in any transactions.
9.
All prices and values stated in relation to the Rewards are correct and accurate as of the time of printing.
10.
The Rewards do not include any accessories or additional items, or representations not expressly stated in these Terms and Conditions. Any visuals, images, or promotional materials related to the Campaign are for illustration purposes only and do not form part of the actual Rewards or any associated rewards.
11.
By accepting the Rewards, the Eligible Clients consent to and agrees that CGS MY shall be at liberty to publish and/or display their names, photos and cities of residence for advertising and publicity purposes in any manner it deems appropriate without compensation.
12.
The Rewards are not transferable or exchangeable for cash, general account credit, goods, or benefits in kind, unless otherwise determined by CGS MY in accordance with Clause 16(c).
13.
Eligible Clients shall bear all costs associated with the Rewards, including but not limited to applicable taxes (such as sales and services tax), incidental costs, or other charges, unless otherwise stated. CGS MY shall not be liable for any such taxes, costs, or charges, nor for any damages arising from the non-fulfilment of obligations by its agents, distributors, or third-party providers. Further,
  1. (a)
    While Zero-Commission Buy Trades waives the commission fees for buy trades with respect to the Account, all other fees still apply, including clearing fees, stamp duty, trading fees, and settlement fees (where applicable). These fees remain the responsibility of the Eligible Clients and are subject to CGS MY’s standard fee schedule at https://cgsi.com.my/up/pricing .
14.
The Zero-Commission Rate for Buy Trades and Zero-Platform Fee Trades will be applied automatically, where applicable.
15.
CGS MY will communicate all Campaign-related matters (including eligibility, processing, and allocating of Rewards) to Eligible Clients via their registered contact details (e.g., telephone number or e-mail address) with CGS MY. Eligible Clients must ensure their contact information remains accurate and up to date. To this end;
  1. (a)
    If an Eligible Client fails to update their contact details, CGS MY shall not be responsible for any miscommunication, and the applicable Rewards may be forfeited in accordance with Clause 17(a) below.
  2. (b)
    CGS MY shall not be responsible or liable for any delays due to administrative or technical issues, including but not limited to incomplete, lost, or failed electronic transmissions affecting the application or allocation of the Rewards.
16.
Notwithstanding anything contained herein, CGS MY reserves the right, at its absolute discretion, to:
  1. (a)
    Amend, delete, or add to any of these Terms and Conditions (including but not limited to eligibility and qualifying criteria) at any time without prior notice and without disclosing any reason. Any such amendments shall take effect upon notification, and all Eligible Clients shall be bound by the updated terms once they take effect.
  2. (b)
    Extend, modify, shorten, suspend, or terminate the Campaign at any time for any reason and with or without prior notice. Any such action shall not entitle any Eligible Clients to claim compensation for losses or damages suffered, whether directly or indirectly, as a result of the modification, suspension, or termination.
  3. (c)
    Withdraw, replace, or substitute any of the Rewards with other benefits of similar value, without prior notice and without any obligation to provide reasons, compensation, or payment.
17.
Any amendments, variations, or modifications to these Terms and Conditions shall be notified to Eligible Clients through one or more of the following means:
  1. (a)
    Email sent to the Eligible Client’s last known email address registered with CGS MY; or
  2. (b)
    A notice posted on CGS MY’s UP official website at www.cgsi.com.my/up .
  3. Such amendments shall take effect from the date of notification, or any other date specified by CGS MY, and shall be binding on all Eligible Clients. These Terms and Conditions, as amended or varied from time to time pursuant to Clause 16, shall prevail over any conflicting provisions or representations contained in any other promotional or marketing materials relating to the Campaign.
18. CGS MY reserves the right to forfeit any Rewards under the following circumstances:
  1. (a)
    The Eligible Client is not contactable using the contact details registered with CGS MY in accordance with Clause 15 above.
  2. (b)
    The Eligible Client fails to comply with these Terms and Conditions or any other applicable terms governing the Campaign.
  3. (c)
    The Eligible Clients have an Account(s) that is in contra loss (where the buy cost exceeds the sell proceeds, resulting in a contra loss which the Eligible Clients shall pay to the CGS MY).
  4. (d)
    For any other reason which CGS MY, in its sole and absolute discretion, deems appropriate.
  5. If the Rewards are forfeited for any of the reasons set out in (a) to (c) above, CGS MY reserves the right to reallocate it to the next eligible recipient, subject to availability and at its absolute discretion.
19.
All decisions made by CGS MY relating to or arising from the Campaign, including but not limited to the determination of Eligible Clients, the allocation or forfeiture of Rewards, and the interpretation of these Terms and Conditions, shall be final, conclusive, and binding on all Eligible Clients. No correspondence, appeals, or objections will be entertained, and CGS MY shall not be obliged to provide any explanation regarding its decisions.
20.
To the fullest extent permitted by law, CGS MY, its affiliates, employees, directors, officers, representatives, and agents shall not be liable for any loss, damage, injury, costs, or expenses incurred by any person, including but not limited to loss of income, profits, goodwill, or business opportunities, or any direct, indirect, incidental, consequential, exemplary, punitive, or special damages, whether incurred by the Eligible Clients or any third party, arising from or in connection with the Campaign, whether in contract, tort, negligence, or otherwise, even if CGS MY has been advised of the possibility of such damages in advance, and all such damages are expressly excluded.
21.
CGS MY does not make any representation, warranty, or guarantee, whether express or implied, regarding the availability, continuity, or suitability of any of the Rewards, including the Zero-Commission Rate for Buy Trades and Zero-Platform Fee Trades. CGS MY shall not be responsible for any additional costs, tax implications, or regulatory obligations that may arise in connection with the enjoyment of the Rewards, nor for any acts, omissions, or requirements imposed by governmental or regulatory authorities. Eligible Clients shall remain responsible for complying with any legal, financial, or tax-related obligations associated with their participation in the Campaign.
22.
By participating in the Campaign, Eligible Clients consent to CGS MY collecting, using, disclosing, and processing their personal data for purposes related to the Campaign, in accordance with the Personal Data Protection Act 2010 and all other applicable personal data protection laws. Eligible Clients also confirm that they have read, understood, and agree to be bound by CGS MY’s Privacy Notice (available at [https://www.cgsi.com.my/info/privacy-notice]), as it relates to the processing of their personal data. The Privacy Notice is deemed incorporated by reference into these Terms and Conditions.
23.
The Campaign and all its Terms and Conditions shall be governed by the laws of Malaysia. Eligible Clients agree to submit to the exclusive jurisdiction of the Courts of Malaysia, but CGS MY will be at liberty to proceed against the Eligible Clients in any court of competent jurisdiction.
