Terms and Conditions for Invest Together, Earn Together (“Terms and Conditions”)

About

The Invest Together, Earn Together Campaign (the “Campaign”) is a referral promotional campaign organized by CGS International Securities Malaysia Sdn. Bhd. (“CGS MY”). The Campaign is open to the following categories of clients of CGS MY who meet the eligibility criteria as set out in Section A (Eligibility) below during the Campaign period commencing from 1 November 2025 until 31 January 2026, both dates inclusive (“Campaign Period”).

A. Eligibility

1.
This Campaign is open to the following categories of clients of CGS MY who meet the eligibility criteria as set out below:
  1. a)
    Category A: Any existing clients of CGS MY who have successfully opened a valid UP account with CGS MY (“UP Account”) prior to the commencement of the Campaign Period and continue to maintain an active UP Account during the Campaign Period (“Existing Clients”); and
  2. b)
    Category B: Any individuals who have registered and successfully opened a new UP Account with CGS MY during the Campaign Period (“New Clients”), (collectively, “Eligible Participants”).
2.
Eligible Participants will be entitled to receive the Referrer Reward (as set out in Section B(1) below) when any of their clients applies the Eligible Participants’ exclusive valid referral link (“Referral Link”), which is accessible via the UP application under “Invite Friends”, at the time of the UP Account registration process, and successfully opens a UP Account (“Eligible Referrer(s)”).
3.
Clients of Eligible Referrers who successfully open a UP Account by applying the Eligible Referrer’s Referral Link at the time of the UP Account registration process (“Eligible Referee(s)”) will be entitled to the Referee Reward (as set out in Section B(2) below).
4.
Eligible Participants are automatically enrolled in this Campaign for the rewards specified under Sections B(1) and B(2) below. To be eligible to the reward specified under Section B(4) below, Eligible Participants must fulfill the criteria stipulated in Section B(4)b).
5.
The following persons and/or accounts are NOT eligible to participate in this Campaign:
  1. a)
    employees, directors, and dealers’ representatives of CGS MY and that of its subsidiaries;
  2. b)
    corporate clients of CGS MY;
  3. c)
    Eligible Participants who terminate their UP Account during the Campaign Period; and
  4. d)
    any other criteria as may be determined by CGS MY at its absolute discretion
6.
Notwithstanding the above, CGS MY has the full discretion to determine the eligibility of the Eligible Participants in this Campaign and CGS MY reserves the absolute right to reject any Eligible Participant’s participation in this Campaign without assigning any reason.

B: Campaign Mechanics

1. Referrer RM20 Fractional Share Reward (“Referrer Reward”)

  • (a)
    Subject to Section B(1)(b) below, each Eligible Referrer is entitled to receive the Referrer Reward for every Eligible Referee who applies the Referral Link at the time of the UP Account registration process and successfully opens a UP Account.
  • (b)
    The Referrer Reward is limited to the first five (5) successful referrals per Eligible Referrer during the Campaign Period.
  • (c)
    A total of five hundred (500) Referrer Rewards will be awarded under this Campaign.
  • (d)
    The Referrer Reward will be credited into the Eligible Referrer’s UP Account within thirty (30) days after the end of the Campaign Period.
2. Referee RM20 Fractional Share Reward (“Referee Reward”)

  • (a)
    Subject to Section B(2)(b) below, each Eligible Referee is entitled to receive the Referee Reward when he/she successfully opens a UP Account by applying the Referral Link at the time of the UP Account registration process.
  • (b)
    A total of five hundred (500) Referee Rewards will be awarded under this Campaign.
  • (c)
    The Referee Reward will be credited into the Eligible Referee’s UP Account within thirty (30) days after the end of the Campaign Period.
3. Referrer CGS Exclusive Merchandise Reward (“Merchandise Reward”)

  • (a)
    Eligible Referrers who obtain five (5) successful UP Account openings when their clients apply their Referral Link during the Campaign Period will be entitled to receive a one-time Merchandise Reward.
  • (b)
    The Merchandise Reward is limited to a maximum of twenty (20) Eligible Referrers, on a first-come, first-served basis, determined by the date and time of the successful UP Account opening by the Referees.
  • (c)
    The Merchandise Award will be delivered to the Referrer’s registered mailing address as per their UP Account information within thirty (30) days after the end of the Campaign Period.
4. Social Sharing RM10 Cash Bonus (“Social Sharing Bonus”)

  • (a)
    Subject to Section B(4)(b) and (c) below, Eligible Participants who share any of their UP experiences on Instagram Story or REDnote (Xiaohongshu) with the Referral Link included in the caption and/or content, and set their post to public setting, will be eligible to receive a one-time Social Sharing Bonus.
  • (b)
    To be eligible for the Social Sharing Bonus, Eligible Participants must either tag @investupmy in their Instagram Story or submit the URL link of their Rednote post via direct message to the @investupmy Instagram account during the Campaign Period (“Eligible Submission(s)”).
  • (c)
    The Social Sharing Bonus is limited to the first one hundred (100) Eligible Submissions, based on the date and time of the receipt of the Eligible Submissions. An Eligible Participant may only earn one (1) Social Sharing Bonus, regardless of the number of Eligible Submissions he/she has submitted.
  • (d)
    The Social Sharing Bonus will be credited into the successful Eligible Participant’s UP Account within thirty (30) days after the end of this Campaign.
  • (e)
    CGS MY reserves the sole and final right to determine and reject any Eligible Submissions without assigning any reason.

C: Other Terms & Conditions

The following General Terms and Conditions shall apply and govern all Eligible Participants, Eligible Referrers and/or Eligible Referees:

1.
The rewards from this Campaign can be earned in conjunction with any other ongoing campaigns organised by CGS MY, if stated in the respective terms and conditions of such campaign(s).
2.
By participating in this Campaign, the Eligible Participants, Eligible Referrers and/or Eligible Referees are deemed to have read, understood and agreed to be bound by these Terms and Conditions, CGS MY’s General Terms and Conditions, as well as the terms of any other agreement(s) (as amended, modified, and/or supplemented from time to time) that the Eligible Participants, Eligible Referrers and/or Eligible Referees may have entered into with CGS MY. The Eligible Participants, Eligible Referrers and/or Eligible Referees further agree that all decisions made by CGS MY regarding any aspect of this Campaign, including but not limited to the Referrer Reward and/or the Referee Reward (“Share Rewards”), the interpretation of these Terms and Conditions and the determination of Eligible Participants, Eligible Referrers and/or Eligible Referees are final, binding and conclusive. No correspondence, queries, appeals or protests will be entertained and CGS MY shall not be obliged to provide any explanation regarding its decisions. Any breach or failure to comply with the foregoing shall result in the disqualification of the relevant Eligible Participants, Eligible Referrers and/or Eligible Referees from this Campaign and the forfeiture of the Share Rewards in accordance with Clause 17.
3.
The Share Rewards shall not be construed as an offer, recommendation, or solicitation to buy or sell any securities. All Eligible Participants, Eligible Referrers and/or Eligible Referees are advised to conduct their own independent evaluation and consult professional advisers before engaging in any transactions.
4.
Where applicable, all prices and values stated here are correct at the time of printing. The Share Rewards does not include any accessories or additional items, or representations not expressly stated in these Terms and Conditions. Any visuals, images, or promotional materials related to the Share Rewards are for illustrational purposes only and do not form part of the actual reward or any associated rewards.
5.
All Eligible Referrers and Eligible Referees (collectively, the “Qualified Clients”) shall be responsible for any costs whatsoever incurred in connection with the Share Rewards:
  • (a)
    The Qualified Clients shall be responsible for paying any applicable taxes including sales and services tax, incidental cost and/or any other charges relating to the Share Rewards unless stated otherwise. CGS MY shall not be held liable for any tax, incidental cost, charges, and/or damages incurred in connection with the crediting or user of the Share Rewards, or due to any nonfulfilment by any of its agents or distributors or third-party providers.
  • (b)
    The Share Rewards shall not be transferable or exchangeable for cash or any other form of credit or in kind, whether in part or in full. They are nonwithdrawable and may only be used for trading purposes within the UP Account.
  • (c)
    Where applicable, the Share Rewards may carry additional terms and conditions imposed by third party. In such cases, these additional terms and conditions shall apply in addition to these Terms and Conditions.
6.
CGS MY reserves the right, without prior notice or assigning any reason whatsoever, to substitute the Share Rewards with other item(s) of similar value. Any substitution made by CGS MY shall be considered as final, binding, and conclusive. The Share Rewards do not include any accessories of items shown in any advertisements and/or promotional materials which are for photography purposes only.
7.
To the fullest extent permitted by law, CGS MY expressly excludes and disclaims any representations, warranties, or endorsements, whether express or implied, written or oral, related to the availability, timeliness and use of the Share Rewards. Additionally, CGS MY accepts no responsibility for any additional expenses, omissions, delays, re-routing, or actions taken by any government or authority that may arise in connection with the entitlement, use or enjoyment of the Share Rewards. Eligible Participants shall remain responsible for complying with any legal, financial, or taxrelated obligations associated with their participation in this Campaign.
8.
While CGS MY will endeavour to credit the Share Rewards to the Qualified Clients’ UP Account(s) promptly, there may be delays due to processing or other administrative factors. CGS MY shall not be responsible for any such delays, nor will any compensation be provided for delayed crediting of the Share Rewards. CGS MY shall be entitled at its sole and absolute discretion to forfeit the Share Rewards or disqualify any participant from participating in this Campaign in accordance with Clause 17.
9.
To the fullest extent permitted by law, CGS MY, its affiliates, employees, directors, officers, representatives, and agents shall not be liable for any loss, damage, injury, costs, or expenses incurred by any person, including but not limited to loss of income, profits, goodwill, or business opportunities, or any direct, indirect, incidental, consequential, exemplary, punitive, or special damages, whether incurred by the Qualified Clients and/or any third party, arising from or in connection with the Share Rewards, whether in contract, tort, negligence, or otherwise, even if CGS MY has been advised of the possibility of such damages in advance, and all such damages are expressly excluded.
10.
CGS MY reserves the right, at its absolute discretion, to:
  • (a)
    Extend, modify, shorten, discontinue, cancel, terminate, or suspend this Campaign for any reason with or without any prior notice. For the avoidance of doubt, any such action shall not entitle any Eligible Participants to claim compensation or to seek remedy against CGS MY for any loss or damages suffered or incurred by the Eligible Participants as a direct or indirect result of any such act of extension, modification, discontinuation, cancellation, termination or suspension.
  • (b)
    Vary (whether by addition, deletion, modification, or any other form) (“Amendment”) any of the terms and conditions herein at any time without prior notice and without disclosing any reason. The Amendment shall be made at CGS MY’s absolute discretion and communicated through one or more of the following means: (i) via email to the Eligible Participant’s last known email address maintained in CGS MY’s records; or (ii) by posting on CGS MY’s website at https://www.cgsi.com.my. The Amendment shall be deemed as binding on the Eligible Participants from the date of notification of the Amendment or from such other date as may be specified by CGS MY (through one of the above means of communication).
11.
These Terms and Conditions, as may be varied or amended from time to time pursuant to Clause 10, shall prevail over any provisions or representations contained in any other promotional materials advertising this Campaign.
12.
This Campaign shall not be construed as an offer, recommendation, or solicitation to buy or sell any securities. All Eligible Participants are advised to make their own independent evaluation and to consult their professional advisers before undertaking any transaction.
13.
All other terms and conditions applicable to general trading in the UP Account(s) shall continue to apply. Nothing herein shall affect CGS MY’s General Terms and Conditions and/or the UP Account(s) terms and conditions to which the Eligible Participants have agreed to.
14.
Pursuant to the requirements under the Personal Data Protection Act 2010, CGS MY is required to obtain the Eligible Participant’s consent for the processing of their personal data. By participating in this Campaign, the Eligible Participants consent to CGS MY’s processing of their personal data, provided now and from time to time, in connection with their participation in this Campaign (with reference to Clause 2) or for any current or future publicity and advertising materials of CGS MY relating to this Campaign. The Eligible Participants hereby confirm that they have read, understood and agree to be bound by the CGS MY’s Privacy Notice (which is available at https://cgsi.com.my/info/privacy-notice (“Privacy Notice”) and the terms herein, concerning the processing of their personal information. For the avoidance of doubt, the Eligible Participants agree that the Privacy Notice is deemed incorporated by reference into these Terms and Conditions.
15.
The Eligible Participants agree and authorise CGS MY to disclose their details (including, but not limited to, name, NRIC number, telephone number and address) to the vendor/distributor/agent of CGS MY or any third party, as applicable or necessary, for the purpose of notifying and crediting of the Share Rewards. All taxes, charges and incidental costs in this regard shall be borne by the Eligible Participants.
16.
Any communication regarding the Share Rewards (e.g., eligibility, issuance, or other reward-related matters), as deemed appropriate by CGS MY, will be communicated to the Qualified Clients using their telephone numbers and/or email addresses maintained in CGS MY’s records. The Qualified Clients are responsible for ensuring that their contact information is accurate and up-to-date. If the Qualified Clients’ contact information changes and they fail to notify CGS MY before the Share Rewards are issued, they may not receive such communication. In such cases, CGS MY reserves the right to forfeit the Share Rewards.
17.
CGS MY reserves the right to forfeit the Share Rewards without any prior notice, under the following circumstances:
  • (a)
    The Qualified Clients are not contactable in accordance with Clause 16.
  • (b)
    The Qualified Clients have an UP Account(s) that is in contra loss (where the buy cost exceeds the sell proceeds, resulting in a contra loss which the Qualified Clients shall pay to CGS MY); or
  • (c)
    For any other reason which CGS MY, in its absolute discretion, deems appropriate
If the Share Rewards is forfeited for any of the reasons set out in (a) to (c) above, CGS MY reserves the right to reallocate it to the next qualified recipient, subject to availability and at its absolute discretion
18.
The provision of the Share Rewards is at the absolute and sole discretion of CGS MY. CGS MY’s decision to forfeit any Share Rewards for the reasons set out in Clause 17 shall be considered as final, binding, and conclusive.
19.
CGS MY reserves the right to publish or display the name, photos, and city of residence of any Qualified Clients for advertising and publicity purposes in any manner it deems appropriate. By accepting the Share Rewards, the Qualified Clients consent to and agrees that CGS MY shall be at liberty to publish and/or display their names, photos and cities of residence without compensation.
20.
This Campaign and all these Terms and Conditions shall be governed by the laws of Malaysia. All Eligible Participants agree to submit to the exclusive jurisdiction of the Courts of Malaysia, but CGS MY will be at liberty to proceed against the Eligible Participants in any court of competent jurisdiction.
