Terms and Conditions for Invest Together, Earn Together (“Terms and Conditions”)

About

The Invest Together, Earn Together Campaign (the “Campaign”) is a referral promotional campaign organized by CGS International Securities Malaysia Sdn. Bhd. (“CGS MY”). The Campaign is open to the following categories of clients of CGS MY who meet the eligibility criteria as set out in Section A (Eligibility) below during the Campaign period commencing from 21 July 2025 until 31 October 2025, both dates inclusive (“Campaign Period”).

  1. (a)
    Category A: Any existing clients of CGS MY who have successfully opened and maintained a valid UP account opened with CGS MY (“UP Account”) prior to commencement of the Campaign and who continue to hold an active UP account during the Campaign Period (“Existing Clients”);
  2. (b)
    Category B: Any individual who applies and successfully opens a new UP Account with CGS MY during the Campaign Period (“New Clients”);
  3. (both the Existing Clients and the New Clients are collectively known as “Eligible Participants”)

The Terms and Conditions of the Campaign are as set out below.

A. Eligibility

1. Eligibility Criteria:

Subject always to the Terms and Conditions contained herein:
  1. (a)
    Referrer Rewards
    Eligible Participants who successfully refer one (1) or more clients to open and complete a successful registration of a new UP Account with CGS MY within the Campaign Period using their own valid referral link (the “Referral Link”) which is accessible via the UP App under “Invite Friends” at the time of the UP Account registration, will be entitled to the applicable Referrer Cash Rewards as set out in Section B(1) below.

    (Each an “Eligible Referrer” and collectively, they are referred to as the “Eligible Referrers”)
  2. (b)
    Referee Rewards:
    Any new clients who apply and successfully open a new UP Account with CGS MY using the Eligible Referrer’s Referral Link (the “Referral Link”) during the UP Account opening process will be entitled to the Referee Reward as set out in Section B(2) below.

    (Each an “Eligible Referee” and collectively, they are referred to as the “Eligible Referees”)
2. Automatic Enrollment:

No participation form is required to be completed for the purpose of participating in the Campaign as the Eligible Participants are automatically enrolled in the Campaign.
3. Ineligible Clients:

The following persons and/or accounts are NOT eligible to participate in the Campaign:
  • (a)
    Dealers’ representatives of CGS MY and that of its subsidiaries ;
  • (b)
    Corporate clients of CGS MY;
  • (c)
    Eligible Participants who terminate their UP Account during the Campaign Period;
  • (d)
    Others as may be determined by CGS MY at its absolute discretion.
4. Discretionary Participation Rights

Notwithstanding the above, CGS MY has the full discretion to determine the eligibility of any client to participate in the Campaign and CGS MY reserves the absolute right to reject any Eligible Participant's participation in this Campaign without assigning any reason.

B: Campaign Mechanics

1.
Referrer Cash Rewards
  1. (a)
    Referrer RM10 Cash Reward
    Eligible Referrers will be entitled to a cash reward of RM10 for each Eligible Referee who successfully opens an UP Account with CGS MY using the Eligible Referrers' Referral Link (“Referral RM10 Cash Reward”). This Referrer RM10 Cash Reward is subject to a maximum of five (5) successful referrals throughout the entire duration of the Campaign Period.
  2. (b)
    Referrer Extra RM20 Cash Reward: Refer, Deposit and Trade Reward
    Eligible Referrers will receive additional cash reward of RM20 for each Eligible Referee who meets the following conditions (“ Referral Extra RM20 Cash Reward”):
    • (a)
      deposits a minimum of RM50 into their UP Account; and
    • (b)
      either executes at least one (1) SaveUP (an automated regular savings plan feature which is available within the UP Account that allows to invest fixed amount at regular intervals) or executes at least one (1) buy trade;
    • This Referrer Extra RM20 Cash Reward is subject to a maximum of five (5) successful referrals throughout the entire duration of Campaign Period.
    • (Both “the Referrer RM10 Cash Reward” and “Referrer Extra RM20 Cash Reward” are collectively known as “the Referrer Cash Rewards”)
    • An illustration of the Referrer Cash Rewards is set out below based on the assumption that Eligible Referrer A has successfully recruited 8 Eligible Referees during the Campaign Period:

  3. (c)
    The combined total of the Referrer RM10 Cash Reward and the Referrer Extra RM20 Cash Reward is limited to a maximum of five (5) successful referrals, with the total reward capped at RM150 per Eligible Referrer throughout the Campaign Period.
  4. (d)
    The Referrer RM10 Cash Reward and Referrer RM20 Extra Cash Reward will be credited to the Eligible Referrer's UP Account within 30 days starting from 22 October 2025 onwards.
2.
Referee Reward
  1. (a)
    Deposit and Earn: Referee RM10 Cash Reward
    Eligible Referees who deposit a minimum of RM50 into their UP Account within the Campaign Period shall be entitled to one-time cash reward of RM10 (“Referee RM10 Cash Reward”).
  2. (b)
    The Referee RM10 Cash Reward will be credited to the Eligible Referee's UP Account within 30 days starting from 22 October 2025 onwards.

C: Terms & Conditions

The following General Terms and Conditions shall apply and govern all Eligible Participants, Eligible Referrers and/or Eligible Referees:

1.
By participating in the Campaign, the Eligible Participants are deemed to have read, understood and agreed to be bound by these Terms and Conditions, CGS MY's General Terms and Conditions, as well as the terms of any other agreement(s) that the Eligible Participants may have entered into with CGS MY (each as amended, modified, and/or supplemented from time to time). The Eligible Participants further agree that all decisions made by CGS MY regarding any aspect of the Campaign, including but not limited to the Referrer Cash Rewards and the Referee RM10 Cash Reward (collectively known as “the Cash Rewards”), the interpretation of these Terms and Conditions and the determination of Eligible Participants, Eligible Referrers and/or Eligible Referees are final, binding and conclusive. No correspondence, queries, appeals or protests will be entertained and CGS MY shall not be obliged to provide any explanation regarding its decisions. Any breach or failure to comply with the foregoing shall result in the disqualification of the relevant Eligible Participants from the Campaign and the forfeiture of the applicable Cash Rewards in accordance with Clause 16.
2.
The applicable Cash Rewards shall not be construed as an offer, recommendation, or solicitation to buy or sell any securities. All Eligible Participants are advised to conduct their own independent evaluation and consult professional advisers before engaging in any transactions.
3.
Where applicable, all prices and values stated here are correct at the time of printing. The applicable Cash Rewards does not include any accessories or additional items, or representations not expressly stated in these Terms and Conditions herein. Any visuals, images, or promotional materials related to the applicable Cash Rewards are for illustrational purposes only and do not form part of the actual reward or any associated rewards.
4.
All Eligible Referrers and Eligible Referees (“Qualified Clients”) shall be responsible for any costs whatsoever incurred in connection with the applicable Cash Rewards:
  1. a)
    The Qualified Clients shall be responsible for paying any applicable taxes including sales and services tax, incidental cost and/or any other charges relating to the applicable Cash Rewards unless stated otherwise. CGS MY shall not be held liable for any tax, incidental cost, charges, and/or damages incurred in connection with the crediting or user of the applicable Cash Rewards, or due to any non-fulfilment by any of its agents or distributors or third-party providers.
  2. b)
    The applicable Cash Rewards shall not be transferable or exchangeable for cash or any other form of credit or in kind, whether in part or in full. They are non-withdrawable and may only be used for trading purposes within the UP Account.
  3. c)
    Where applicable, the Cash Rewards may carry additional terms and conditions imposed by third party. In such cases, these additional terms and conditions shall apply in addition to the Terms and Conditions contained herein.
5.
CGS MY reserves the right, without prior notice or assigning any reason whatsoever, to substitute the applicable Cash Rewards with other item(s) of similar value. Any substitution made by CGS MY shall be considered as final, binding, and conclusive. The applicable Cash Rewards under the Campaign does not include any accessories of items shown in any advertisements and/or promotional materials which are for photography purposes only.
6.
To the fullest extent permitted by law, CGS MY expressly excludes and disclaims any representations, warranties, or endorsements, whether express or implied, written or oral, related to the availability, timeliness and use of the applicable Cash Rewards. Additionally, CGS MY accepts no responsibility for any additional expenses, omissions, delays, re-routing, or actions taken by any government or authority that may arise in connection with the entitlement, use or enjoyment of the applicable Cash Rewards. Eligible Participants shall remain responsible for complying with any legal, financial, or tax-related obligations associated with their participation in the Campaign.
7.
While CGS MY will endeavour to credit the applicable Cash Rewards to the Qualified Clients’ UP Account(s) promptly, there may be delays due to processing or other administrative factors. CGS MY shall not be responsible for any such delays, nor will any compensation be provided for delayed crediting of the applicable Cash Rewards.
8.
To the fullest extent permitted by law, CGS MY, its affiliates, employees, directors, officers, representatives, and agents shall not be liable for any loss, damage, injury, costs, or expenses incurred by any person, including but not limited to loss of income, profits, goodwill, or business opportunities, or any direct, indirect, incidental, consequential, exemplary, punitive, or special damages, whether incurred by the Qualified Clients and/or any third party, arising from or in connection with the applicable Cash Rewards, whether in contract, tort, negligence, or otherwise, even if CGS MY has been advised of the possibility of such damages in advance, and all such damages are expressly excluded.
9.
CGS MY reserves the right, at its absolute discretion, to:
  1. a)
    Extend, modify, shorten, discontinue, cancel, terminate, or suspend the Campaign for any reason with or without any prior notice. For avoidance of doubt, any such action shall not entitle any Eligible Participants to claim compensation or to seek remedy against CGS MY for any loss or damages suffered or incurred by the Eligible Participants as a direct or indirect result of any such act of extension, modification, discontinuation, cancellation, termination or suspension.
  2. b)
    Vary (whether by addition, deletion, modification, or any other form) (the “Amendment”) any of the terms and conditions herein at any time without prior notice and without disclosing any reason. The Amendment shall be made at CGS MY’s absolute discretion and communicated through one or more of the following means: (i) via email to the Eligible Participant’s last known email address maintained in CGS MY’s records or (ii) by posting on CGS MY’s website at https://www.cgsi.com.my . The Amendment shall be deemed as binding on the Eligible Participants from the date of notification of the Amendment or from such other date as may be specified by CGS MY (through one of the above means of communication).
10.
These Terms and Conditions, as may be varied or amended from time to time pursuant to Clause 9, shall prevail over any provisions or representations contained in any other promotional materials advertising the Campaign.
11.
The Campaign shall not be construed as an offer, recommendation, or solicitation to buy or sell any securities. All Eligible Participants are advised to make their own independent evaluation and to consult their professional advisers before undertaking any transaction.
12.
All other terms and conditions applicable to general trading in the UP Account(s) shall continue to apply. Nothing herein shall affect CGS MY’s general terms and conditions and/or the UP Account(s) terms and conditions to which the Eligible Participants have agreed to.
13.
Pursuant to the requirements under the Personal Data Protection Act 2010, CGS MY is required to obtain the Eligible Participant’s consent for the processing of their personal data. By participating in the Campaign, the Eligible Participants consent to CGS MY’s processing of their personal data, provided now and from time to time, in connection with their participation in the Campaign (with reference to Clause 1) or for any current or future publicity and advertising materials of CGS MY relating to this Campaign. The Eligible Participants hereby confirm that they have read, understood and agree to be bound by the CGS MY’s Privacy Notice (which is available at https://cgsi.com.my/info/privacy-notice (“Privacy Notice”) and the terms herein, concerning the processing of their personal information. For the avoidance of doubt, the Eligible Participants agree that the Privacy Notice is deemed incorporated by reference into these General Terms and Conditions.
14.
The Eligible Participants agree and authorize CGS MY to disclose their details (including, but not limited to, name, NRIC number, telephone number and address) to the vendor/distributor/agent of CGS MY or any third party, as applicable or necessary, for the purpose of notifying and crediting of the applicable Cash Rewards. All taxes, charges and incidental costs in this regard shall be borne by the Eligible Participants.
15.
Any communication regarding the applicable Cash Rewards (e.g., eligibility, issuance, or other reward-related matters), as deemed appropriate by CGS MY, will be communicated to the Qualified Clients using their telephone numbers and/or email addresses maintained in CGS MY’s records. The Qualified Clients are responsible for ensuring that their contact information are accurate and up to date. If the Qualified Clients’ contact information changes and they fail to notify CGS MY before the applicable Cash Rewards are issued, they may not receive such communication. In such cases, CGS MY reserves the right to forfeit the applicable Cash Rewards.
16.
CGS MY reserves the right to forfeit the applicable Cash Rewards without any prior notice, under the following circumstances:
  1. a)
    The Qualified Clients are not contactable in accordance with clause 15.
  2. b)
    The Qualified Clients have an UP Account(s) that is in contra loss (where the buy cost exceeds the sell proceeds, resulting in a contra loss which the Qualified Clients shall pay to CGS MY); or
  3. c)
    For any other reason which CGS MY, in its absolute discretion, deems appropriate.
If the applicable Cash Rewards is forfeited for any of the reasons set out in (a) to (c) above, CGS MY reserves the right to reallocate it to the next qualified recipient, subject to availability and at its absolute discretion.
17.
The provision of the applicable Cash Rewards is at the absolute and sole discretion of CGS MY. CGS MY’s decision to forfeit any applicable Cash Rewards for the reasons set out in clause 16(a) to (c) above, shall be considered as final, binding, and conclusive.
18.
CGS MY reserves the right to publish or display the name, photos, and city of residence of any Qualified Clients for advertising and publicity purposes in any manner it deems appropriate. By accepting the applicable Cash Rewards, the Qualified Clients consent to and agrees that CGS MY shall be at liberty to publish and/or display their names, photos and cities of residence without compensation.
19.
The Campaign and all the Terms and Conditions as set out herein, shall be governed by the laws of Malaysia. All Eligible Participants agree to submit to the exclusive jurisdiction of the Courts of Malaysia, but CGS MY will be at liberty to proceed against the Eligible Participants in any court of competent jurisdiction.
